Please read these Terms and Conditions ("Terms", "Terms and Conditions") carefully before using the website fleettrack.ie (the "Site") or any fleet management services (the "Services") operated by FleetTrack Ireland ("we", "us", "our", or "FleetTrack").

Your access to and use of the Services is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who wish to access or use the Services.

By accessing or using the Services, you agree to be bound by these Terms. If you disagree with any part of the Terms, then you do not have permission to access the Services.

1. Use of Services

1.1 Account Registration

In order to use certain features of the Services, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

1.2 Account Security

You are responsible for safeguarding the password that you use to access the Services and for any activities or actions under your password. We encourage you to use "strong" passwords (passwords that use a combination of upper and lower case letters, numbers, and symbols) with your account. FleetTrack cannot and will not be liable for any loss or damage arising from your failure to comply with the above requirements.

1.3 Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Services in any way that violates any applicable local, national, or international law or regulation.
• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Services, the server on which the Services are stored, or any server, computer, or database connected to the Services.
• Impersonate or attempt to impersonate FleetTrack, a FleetTrack employee, another user, or any other person or entity.
• Use the Services in any manner that could disable, overburden, damage, or impair the Services or interfere with any other party's use of the Services.
• Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
• Engage in any data mining, data harvesting, data extracting, or any other similar activity in relation to the Services.
• Use the Services to send automated, unsolicited, or unauthorized communications.

2. Services Description

2.1 Fleet Management Services

FleetTrack provides comprehensive fleet management solutions, which may include but are not limited to vehicle tracking, route optimization, maintenance management, driver behavior monitoring, and analytics services. The specific features and functionalities available to you depend on the service package you have purchased or subscribed to.

2.2 Service Availability

We strive to ensure that the Services are available 24 hours a day, but we do not guarantee that the Services will be available at all times. We may experience hardware, software, or other problems, or need to perform maintenance related to the Services, resulting in interruptions, delays, or errors. We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the Services at any time without notice to you.

2.3 Equipment and Software

To use certain Services, you may need to install specific hardware devices in your vehicles or use specific software. You agree to follow all installation and usage instructions provided by FleetTrack. You acknowledge that improper installation or use may result in inaccurate data or service disruptions.

3. Fees and Payment

3.1 Service Fees

You agree to pay all fees or charges to your account in accordance with the fees, charges, and billing terms in effect at the time a fee or charge is due and payable. The payment terms are specified in your service agreement with FleetTrack.

3.2 Billing and Invoicing

FleetTrack reserves the right to invoice you for the Services on a monthly, quarterly, or annual basis as agreed upon in your service contract. Payment for invoices is due upon receipt unless otherwise specified in the service agreement.

3.3 Price Changes

FleetTrack, in its sole discretion, may modify the pricing for the Services. Any price changes will become effective at the end of the then-current billing cycle. FleetTrack will provide you with reasonable prior notice of any change in fees to give you an opportunity to terminate your account before such change becomes effective.

3.4 Late Payment

If your payment is more than 30 days overdue, we may suspend your access to the Services without notice to you until such amounts are paid in full.

4. Intellectual Property

4.1 FleetTrack Intellectual Property

The Services and its original content, features, and functionality are and will remain the exclusive property of FleetTrack and its licensors. The Services are protected by copyright, trademark, and other laws of both Ireland and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of FleetTrack.

4.2 Customer Data

You retain all rights to any data you input into the Services or that is collected from your vehicles and drivers through the use of the Services ("Customer Data"). You grant FleetTrack a license to use, modify, and distribute Customer Data solely for the purposes of providing the Services to you.

4.3 Feedback

If you provide FleetTrack with any feedback or suggestions regarding the Services ("Feedback"), you hereby assign to FleetTrack all rights in such Feedback and agree that FleetTrack shall have the right to use and fully exploit such Feedback in any manner it deems appropriate.

5. Confidentiality

Each party agrees to keep confidential all confidential information disclosed to it by the other party in connection with the Services and to protect the confidentiality thereof in the same manner as it protects the confidentiality of its own proprietary and confidential information, but in no event with less than reasonable care.

6. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall FleetTrack, its affiliates, agents, directors, employees, suppliers, or licensors be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses, that result from the use of, or inability to use, the Services.

To the maximum extent permitted by applicable law, FleetTrack assumes no liability or responsibility for any:

• Errors, mistakes, or inaccuracies in the Services;
• Personal injury or property damage, of any nature whatsoever, resulting from your access to or use of the Services;
• Unauthorized access to or use of our secure servers and/or any personal information stored therein;
• Interruption or cessation of transmission to or from the Services;
• Bugs, viruses, trojan horses, or the like that may be transmitted to or through the Services by any third party;
• Errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Services.

7. Indemnification

You agree to defend, indemnify, and hold harmless FleetTrack, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

8. Term and Termination

8.1 Term

The term of your agreement with FleetTrack will be as specified in your service contract.

8.2 Termination by You

You may terminate your account and your service agreement with FleetTrack at any time by providing written notice to FleetTrack, subject to any notice requirements or early termination fees specified in your service contract.

8.3 Termination by FleetTrack

FleetTrack, in its sole discretion, may terminate your access to the Services, or suspend or terminate your account, for any reason, including without limitation if FleetTrack believes that you have violated or acted inconsistently with the letter or spirit of these Terms.

8.4 Effect of Termination

Upon termination of your account, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

9. Governing Law

These Terms shall be governed and construed in accordance with the laws of Ireland, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

10. Dispute Resolution

Any dispute arising from or relating to the subject matter of these Terms shall be finally settled by arbitration in Dublin, Ireland, using the English language in accordance with the Arbitration Rules and Procedures of the Arbitration Institute of the Ireland Chamber of Commerce then in effect.

11. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms.

13. Entire Agreement

These Terms, together with any service agreement or contract you have entered into with FleetTrack, constitute the entire agreement between you and FleetTrack regarding our Services and supersede and replace any prior agreements we might have had between us regarding the Services.
